1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the Harvestify consumer application (the "App"), including account registration, marketplace browsing, wallet services, agro real estate investments, portfolio management, and support.

By creating an account, clicking "Register," or otherwise using the App, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App.

2. Who may use the App

You must be at least 18 years old and capable of entering a binding contract under applicable law. You represent that information you provide during registration is accurate and that you will keep it up to date in Settings.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@useharvestify.com if you suspect unauthorized access.

3. Our services

Harvestify provides a platform to discover verified sellers and fresh produce, fund a Harvestify wallet, invest in agro real estate opportunities listed on the marketplace, track investments in My Portfolio, manage payout bank details, and contact support.

We may add, change, or discontinue features with reasonable notice where practicable. Farm profiles, product listings, and investment packages are supplied by farm partners and administrators; we strive for accuracy but do not guarantee that all third-party content is complete or error-free.

4. Wallet and payments

Wallet funding, transfers, and related payment processing are handled through Paystack and our payment infrastructure. You agree to provide valid payment details and authorize charges for amounts you initiate.

Wallet balances, transaction history, fees, and statuses are displayed in the App. Processing times may vary based on your bank, network, or payment method. We are not responsible for delays caused by third-party payment providers or financial institutions outside our control.

5. Investments and risk disclosure

Agro real estate opportunities on the marketplace involve financial risk. Past performance, projected returns, or illustrative figures shown in the App are not guarantees of future results. You should only invest amounts you can afford to lose and consider seeking independent financial advice before investing.

When you invest, you select an investment package subject to its stated terms, capacity, status, and announcements published on the platform. Investments may be subject to minimum amounts, holding periods, return cycles, or other conditions disclosed for each package. We may decline or cancel an investment if package capacity is reached, your wallet balance is insufficient, or we detect fraud or policy violations.

Returns, if any, depend on the performance of underlying farm or agricultural projects and applicable revenue-sharing arrangements. Delays or losses may occur due to operational, weather, regulatory, or market factors beyond our control.

6. Withdrawals and payout accounts

You may request withdrawals from your wallet to a bank account you register in the App. You authorize us to validate account details (for example via bank name resolution) and to process payouts to the account you nominate.

You are responsible for ensuring payout details are correct. We are not liable for funds sent to an account you provided in error, subject to applicable law and our ability to recover misdirected payments.

7. Acceptable use

You agree not to:

• Use the App for unlawful, fraudulent, or abusive purposes.
• Misrepresent your identity, payment methods, or payout account ownership.
• Attempt to access another user’s account, data, or admin functions without authorization.
• Interfere with the App’s security, scrape data at scale, or introduce malware.
• Circumvent investment limits, package capacity, or platform controls.

We may suspend or terminate accounts that violate these Terms or pose risk to other users or the platform.

8. Intellectual property

The App, including its design, logos, software, and content we create, is owned by Harvestify or our licensors. You receive a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

Farm names, images, and product descriptions may belong to third parties. You may not copy, modify, or distribute App content except as permitted by law or with our written consent.

9. Disclaimers

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted or error-free operation. Information about farms, products, and investment packages is for general informational purposes and does not constitute investment, legal, or tax advice.

10. Limitation of liability

To the maximum extent permitted by applicable law, Harvestify and its affiliates, officers, and employees will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the App or any investment, even if we have been advised of the possibility of such damages.

Our total liability for claims relating to the App in any twelve-month period is limited to the greater of (a) amounts you paid to us in fees for the service during that period, or (b) one hundred United States dollars (USD $100), except where liability cannot be limited under Nigerian law.

11. Indemnity

You agree to indemnify and hold harmless Harvestify from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the App, violation of these Terms, or infringement of third-party rights, except to the extent caused by our gross negligence or willful misconduct.

12. Suspension and termination

You may stop using the App at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the platform. Provisions that by nature should survive termination (including investment records, payment obligations, disclaimers, and limitations of liability) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. You agree to attempt to resolve disputes informally by contacting us first. If a dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless mandatory consumer protection rules require otherwise.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version in the App and update the "Last updated" date. Material changes may be communicated by email or in-app notice where appropriate. Continued use after changes take effect constitutes acceptance of the updated Terms.
